Transparency reports involving KBC Ancora before 31 August 2008

Concering Cera’s most recent transparency report

Cera announced on 29 June 2010 that its stake in KBC Ancora amounted to 59.99%.

KBC Ancora was an almost wholly-owned subsidiary of Cera until 12 January 2001. Since 13 January 2001, Cera has, by way of reimbursement on withdrawal, allocated 4.2 KBC Ancora shares for each cooperative D-share with which members withdraw from Cera (until 14 June 2007, before the stock split by a factor 1.4, 3 Almancora shares were allocated for each D-share). As a result, Cera’s stake in KBC Ancora to be distributed will, in principle, decline steadily. On the other hand, Cera can buy and sell KBC Ancora shares on the stock market as part of its investment policy.

Disclosure to the Financial Services and Markets Authority (FSMA) based on the regulation on take over bids of April 2007

At 18 February 2008 Cera SCRL disclosed to the FSMA (pursuant to Article 74, §6, of the Law of 1 April 2007) and KBC Ancora having a holding at 1 September 2007 of more than 30% (more precisely 62.03%) of the securities with voting rights in KBC Ancora.
Since then, KBC Ancora has received an annual notification stating that Cera still held more than 30% of the voting rights of KBC Ancora.
